Tania’s main areas of practice focus on company and commercial law, financial services law, and debt capital markets.
She is involved in the negotiation and preparation of a wide range of commercial contracts as well as shareholders’ agreements, and has particular experience in acquisitions and restructurings.
Her financial services practice involves assisting management companies and clients with their applications to the Financial Services Commission for global business licences, approval as authorised companies, and other categories of licences. She has also advised FSC licencees in successfully obtaining certain regulatory exemptions.
Tania has valuable experience in advising issuers in respect of bonds listed on the Official Market or the Development & Enterprise Market, or private placement of notes. She also has experience in banking transactions.
Prior to joining Orison Legal in 2021, Tania worked at a Tier 1 chambers for 6 years and the Mauritian office of an international law firm for 2 years.

2019 – Advised Finnish Fund for Industrial Cooperation Ltd in relation to its exit from an energy company prior to the latter’s entry into an Asian carbon emissions market.
2016-2017 – Advised Proparco and Investisseurs & Partenaires in the subscription of a minority stake in a network of African international schools.
2016 – Advised China National Nuclear Corporation on the acquisition, through a Mauritius holding company, of a minority stake in the Langer Heinrich uranium mine in Namibia.
2015-2016 – Advised International Finance Corporation, as non-citizen, on its divestment from Socota Phoenicia, and successfully applying for the approval of the Prime Minister’s Office.
2015-2016 – Assisted with the Mauritian restructuring of the General Electric group of companies.
2015-2016 – Advised Total Outre Mer S.A. on the 100% acquisition of Gulf Africa Petroleum Corporation, having subsidiaries in the petroleum business in Tanzania, Uganda and Kenya.
2014 – Advised European Investment Bank, as non-citizen, on its divestment from Club Mediterranean Albion Resorts, and successfully applying for the approval of the Prime Minister’s Office.

2021 – Advised a hotel in respect of the issuance of secured convertible bonds to The Mauritius Investment Corporation.
2021 – Advised an issuer on the private placement of secured notes for an aggregate amount of MUR 2.5 billion.
2017 – Advised IBL Ltd as issuer and AfrAsia Bank Limited as arranger on the successful inaugural issue of secured medium term notes of MUR 3 billion and the listing of such notes on the Official Market.
2015 – Advised ABC Motors as issuer on the setting of a note programme for an aggregate amount of MUR 300 million. The first tranche of notes of up to MUR 150 million was issued by private placement to institutional investors and was subsequently listed on the Development and Enterprise Market.

2022 – Advised a client regarding the licensing implications of its proposed earned-wage access scheme.
2018 – Advised Soros Economic Development Fund on its investment in the Nomou Jordan Fund.
2015 – 2018 – Advised The Carlyle Group in respect of the setting up Mauritian-domiciled alternative investment vehicles of CAP IV, CAP V, and CAGP V.
2015 – Advised a promoter on the setting up of a professional collective investment scheme targeting healthcare projects in Egypt.
2012-2014 – Advised The Carlyle Group in respect of the setting up of Carlyle Sub-Saharan African Fund and its investment in Export Trading Group.

2022 – Advised a lender in respect of a convertible loan of USD 7.5 million to a B2B digital marketplace.
2022 – Advised a local bank in connection with the granting of secured facilities of MUR 70 million for a luxury real estate project.
2021 – Advised a lender on the refinancing of existing loans of up to USD 10 million.
2020-2021 – Advised Finnish Fund for Industrial Cooperation Ltd and Norwegian Investment Fund for Developing Countries concerning the security documents entered into by a Mauritian obligor, in connection with the refinancing of existing facilities availed to its affiliate operating in the clean energy sector in Africa.
2020-2021 – Advised an asset manager in the refinancing of existing facilities granted to a Mauritian borrower providing mobile technology solutions in Sub-Saharan Africa.
2016-2018 – Advised Kuoni Travel on its accession as guarantor to existing financial arrangements of USD 3 billion with Citibank, JP Morgan Europe Limited and other lenders, and the subsequent refinancings.
